IMPORTANT - READ BEFORE ACCESSING OR USING THE INTEL® XDK SOFTWARE AND WEBSITE

In addition to the Intel Corporate Terms of Use (http://www.intel.com/sites/corporate/termsofuse.htm), and the Intel Online Privacy Notice Summary (http://www.intel.com/sites/sitewide/en_US/privacy/privacy.htm) the following terms govern your use of this site (together, the "Terms of Use" or "TOU"). 

By your use of this site or downloading of any materials from the Intel® XDK website (this "Site"), or the posting or other transmission of communications to this Site, you agree to the TOU. If you do not agree to the TOU, do not use this Site or any of the tools, materials or services available from this Site, including any updates or upgrades thereto (collectively, the "Intel Materials"). To the extent of any conflict between the Intel Corporate Terms of Use, the Intel Online Privacy Notice Summary, and this document, this document shall control with respect to the Intel Materials, including your use of this Site. If you have existing copies of the Intel Materials or versions of the Intel Materials that have the same or substantially the same functionality as the Intel Materials but are licensed under different names ("Prior Versions") that were downloaded or licensed previously (whether from Intel or a third party), you agree that the TOU will supersede and override any prior terms and conditions that applied to the Prior Versions and your continued use of the Prior Versions and Intel Materials will be subject to the TOU.

By accessing, downloading or using the Intel Materials available on this Site or otherwise using this Site, you agree to the TOU for using this Site and the Intel Materials as between you and Intel Corporation and its subsidiaries ("Intel"). If you are entering this TOU on behalf of a company or other legal entity, you represent that you have the legal authority to bind the legal entity to the TOU, in which case, "you" or "your" shall mean such entity. If you do not have such authority or if you disagree with any of the terms in the TOU, Intel does not grant you a license to use the Intel Materials or this Site.

Intel reserves the right, at its discretion, to modify this Site, the Intel Materials, and/or the TOU, including any rules and policies at any time. You are responsible for reviewing and becoming familiar with any such modifications (including new terms, updates, revisions, supplements, modifications, and additional rules, policies, terms and conditions) ("Additional Terms") communicated to you by Intel. All Additional Terms are hereby incorporated by this reference into the TOU and your continued use of the Intel Materials will indicate your acceptance of any Additional Terms and the TOU (as amended by the Additional Terms).

I. ACKNOWLEDGMENT

A. Relationship: You understand and agree that by becoming a registered user on this Site, no legal partnership or agency relationship is created between you and Intel. You agree not to represent otherwise.

B. Ability to Contract: You certify that you are of the legal age of majority in the jurisdiction in which you reside and at least 18 years of age, and you represent that you are legally permitted to become a registered user on this Site. You may not use this Site if you are under 13 years of age. For individuals aged 13 until age 18, use of this Site is only allowed with parental or legal guardian consent. Additionally, use by individuals aged 13 until age 18 is only allowed through the parent's or legal guardian's registered account. In such circumstance, the parent or legal guardian registrant of this Site (and party to the TOU) shall be responsible for the use by the person aged 13 until age 18. Upon reaching age 18 and the legal age of majority in the jurisdiction in which the person resides, the individual may obtain his or her own registration account.

C. Registration: You agree that all information you provide to this Site will be true, accurate and complete. You further agree to update the registration information in a timely fashion as required to keep it true, accurate and complete. Intel may terminate or suspend your account and any rights you may have related to this Site if any of the information you provide is false, inaccurate or incomplete.

D. Collection and Usage of Personal Information by Intel. In registering for and using this Site, you will be required to supply certain information about yourself, including personally identifiable information. All personal information supplied by you to Intel when registering for this Site is subject to the Intel Online Privacy Notice Summary, and will be used to administer your registration to this Site, and to communicate to you as specified in the TOU (including the Intel Online Privacy Notice Summary).

E. Communications: Intel may contact you from time to time by telephone and/or email with information regarding operational issues associated with this Site, technical information, and updates and/or changes regarding your participation as a registered user to this Site. By agreeing to the TOU, you consent that Intel may provide you with such communications. You will also be given the opportunity to opt-in to receive marketing communications from Intel.

F. Consent: You agree that Intel, its subsidiaries or suppliers may collect and use technical and related information, including, but not limited to, technical information about your computer, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support and other services to you (if any) related to the Intel Materials, and to verify compliance with the terms of the TOU. Intel may use this information, as long as it is in a form that does not personally identify you, to improve our products or to develop and provide services or technologies to you. Intel uses various technologies to help improve the efficiency of its websites, including your experience when using our services. For more information on how Intel uses Cookies and Tracking services, please visit http://www.intel.com/cookies.

G. Not Transferable: You cannot transfer any benefits you may receive from Intel in connection with being a registered user of this Site. The Intel ID and password you use to login as a registered user cannot be shared in any way or with any one.

II. TERMS AND CONDITIONS 

1. LICENSE.

A. Subject to the restrictions below and the terms in the TOU, Intel grants to you a non-exclusive, non-assignable, royalty-free copyright license to use the Intel Materials to design, develop or otherwise create or modify software applications which you may distribute under your own terms, but you may not re-distribute the Intel Materials except those portions of the Intel Materials that are specifically identified as "demo apps" and "sample code". 

B. Intel grants you a non-exclusive, non-transferable, non-sublicensable patent license under Intel's Licensed Patent Claims to: 

(i) internally make copies of the Intel Materials; and 
(ii) internally use the Intel Materials; and 
(iii) offer to distribute, and distribute, but not sell, the Intel Materials under the license under Intel's copyrights granted in the preceding paragraph, but only under terms of such license under Intel's copyrights and not as a sale.
For the purposes of this section, "Licensed Patent Claims" means the claims of Intel's patents that are necessarily and directly infringed by the reproduction and distribution that is authorized in Section II.1.A of the Intel Materials, when that Intel Materials is in its unmodified form as delivered by Intel to you and not modified, or combined with anything else. Licensed Patent Claims are only those claims which Intel can license without paying, or getting the consent of, a third party.

C. The Intel Materials may contain open source software, some of which may be identified in, and licensed in accordance with, the "license.txt" file or other text or file in the accompanying third party or open source software. 

2. RESTRICTIONS. Your use of the Intel Materials is expressly limited to and conditioned upon compliance with the following:

A. You will not alter, remove or obscure any proprietary notices from the Intel Materials relating to Intel's or Intel's supplier's intellectual property rights.

B. You will make reasonable efforts to discontinue use of the portions of the Intel Materials that you are licensed hereunder to use, upon Intel's release of an update, upgrade or new version of the Intel Materials, and to make reasonable efforts to distribute updates, upgrades or new versions of your software applications developed with the updated Intel Materials to your customers who have received any of your software applications developed with the Intel Materials.

C. You may not reverse-assemble, reverse-compile, or otherwise reverse-engineer any portion of the Intel Materials provided solely in binary form.

D. Intel will not be responsible in any way for any applications that you develop using the Intel Materials. You (i) are solely responsible to your customers for any update or support obligation or other liability that may arise from the distribution of your application and for your applications' compliance with all applicable laws, including, without limitation, privacy laws, (ii) must not make any statement that your product is "certified," or that its performance is guaranteed, by Intel, (iii) must not use Intel's name, logo or trademarks to market your product without written permission of Intel, (iv) shall prohibit disassembly and reverse engineering of the Intel Materials, and (v) shall indemnify and hold harmless Intel and its suppliers from and against any claims, lawsuits, or damages, including attorneys' fees, that arise or result from your distribution of any application incorporating or developed using the Intel Materials.

E. You will not disable or by-pass any security features of the Intel Materials, or use the Intel Materials to develop applications that: (i) can disable or by-pass such security features or (ii) can cause a Security Vulnerability. "Security Vulnerability" means a weakness or flaw in a product or system's design, operation or implementation that could be exploited by an attacker to violate the product or system's security or privacy policies, including, without limitation, a flaw that makes it infeasible, even when the product is properly used, to prevent an attacker from usurping privileges on a user's system, compromising its data, security or other operational features. If you become aware that your applications can cause a Security Vulnerability, you agree to (1) immediately notify Intel, (2) take immediate measures to stop the distribution of your applications, (3) promptly correct such Security Vulnerability and (4) indemnify and hold harmless Intel for any claims that may be alleged against Intel due to such Security Vulnerability.

F. If Intel reasonably believes that the software, data or application that (i) you create using the Intel Materials or (ii) is stored on servers owned or operated by Intel using the Intel Materials ("Content") and upload on this Site violates the law, infringes or misappropriates the rights of any third party or otherwise violates a term of the TOU ("Prohibited Content"), Intel may notify you of the Prohibited Content and may request that such Prohibited Content be removed from servers owned or managed by Intel or that access to the Prohibited Content be disabled. If you do not remove or disable access to the Prohibited Content within two business days of Intel's notice, Intel may remove or disable access to the Prohibited Content. Notwithstanding the foregoing, Intel may remove or disable access to any Prohibited Content without prior notice in connection with illegal content or as required to comply with law or any judicial, regulatory or other governmental order or request or to remedy a Security Vulnerability. If Intel removes content without prior notice, Intel will provide prompt notice to you unless prohibited by law. Intel will not disclose Content, except (1) if you expressly authorize Intel to do so, or (2) to comply with the TOU, or (3) at the request of a governmental or regulatory body, subpoena or court order.

G. Intel obtains no right, title or interest from you (or yours licensors) under the TOU in or to (i) any software applications that you develop using the Intel Materials, including any intellectual property rights that subsist in those applications, or (ii) to the Content. By posting or storing the Content on or through the Intel Materials or this Site, you give Intel a worldwide, royalty-free, and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute such Content for the sole purpose of enabling Intel to provide you with the Intel Materials.

H. If you use the Intel Materials to develop applications for others or store data supplied by others, you will protect the privacy and legal rights of those users. If the users provide you with user names, passwords, or other login information or personal information, you will make the users aware that the information will be available to your application, and you will provide legally adequate privacy notice and protection for those users. If your application stores personal or sensitive information provided by users, it must do so securely. If the user provides your application with Intel account information, your application may only use that information to access the user's Intel account when, and for the limited purposes for which, the user has given you permission to do so.

I. You will not (i) engage in any activity with the Intel Materials, including the distribution or storage of an application, that interferes with, disrupts, damages, or accesses in an unauthorized manner the servers, networks, or other properties or services of any third party, including, without limitation, Intel or any mobile communications carrier, or (ii) use the Intel Materials to upload, post, host, or transmit unsolicited email, SMS, or "spam" messages.

J. You will not access (or attempt to access) the administrative interface of the Intel Materials by any means other than through the interface that is provided by Intel in connection with the Intel Materials or engage in any activity that interferes with or disrupts the Intel Materials (or the servers and networks which are connected to the Intel Materials).

K. If you use the Intel Materials to store or run applications developed by a third party or that access data, content or resources provided by a third party, you agree that Intel is not responsible for those applications, data, content, or resources. All data, content or resources that you may access through such third party applications are the sole responsibility of the person from which they originated. Intel is not liable for any loss or damage that you may experience as a result of the use or access of any of those third party applications, data, content, or resources. The data, content, and resources presented to you through such a third party application may be protected by intellectual property rights that are owned by the providers (or by other persons or companies on their behalf). You may not modify, rent, lease, loan, sell, distribute or create derivative works based on these data, content, or resources (either in whole or in part) unless you have been specifically given permission to do so by the relevant owners. You acknowledge that your use of such third party applications, data, content, or resources may be subject to separate terms between you and the relevant third party. In that case, the TOU does not affect your legal relationship with these third parties.

3. OWNERSHIP OF INTEL MATERIALS. Notwithstanding anything to the contrary herein, title to all copies of the Intel Materials remains with Intel or its suppliers. The Intel Materials are copyrighted and protected by the laws of the United States and other countries, and international treaty provisions and are licensed under the TOU and not sold. You may not remove any copyright notices from the Intel Materials. Intel may make changes to the Intel Materials, or to items referenced therein, at any time without notice, but is not obligated to support or update the Intel Materials. Except for the express copyright license granted under the TOU, Intel grants no express or implied right or license under any Intel patents, copyrights, trademarks, or other intellectual property rights. 

4. USER SUBMISSIONS AND FEEDBACK; 

A. This Agreement does not obligate you to provide Intel with materials, information, comments, suggestions or other communication regarding the Intel Materials or the Site. However, you agree that any material, information, comments, suggestions or other communication you transmit or post to an Intel website (including, but not limited to, submissions to the Intel Premier Support and/or other customer support websites or online portals) or provide to Intel under the TOU related to the features, functions, performance or use of the Intel Materials and the Site are deemed non-confidential and non-proprietary ("Communications"). Intel will have no obligations with respect to the Communications. You hereby grant to Intel and its subsidiaries a non-exclusive, perpetual, irrevocable, royalty-free, license to copy, modify, create derivative works, publicly display, disclose, distribute, license, sublicense through multiple tiers of distribution and licensees, and incorporate and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein, including derivative works thereto, for any and all commercial or non-commercial purposes. You are prohibited from posting or transmitting to or from an Intel website or provide to Intel any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material that would violate any law. If you wish to provide Intel with information that you intend to be treated as confidential information, Intel requires that such confidential information be provided pursuant to a non-disclosure agreement ("NDA") signed by Intel, so please contact your Intel representative to ensure the proper NDA is in place.

B. Nothing in the TOU will be construed as preventing Intel from reviewing your Communications and errors or defects in Intel products discovered while reviewing your Communications. Furthermore, nothing in the TOU will be construed as preventing Intel from implementing independently-developed enhancements to Intel's own error diagnosis methodology to detect errors or defects in Intel products discovered while reviewing your Communications or to implement bug fixes or enhancements in Intel products. The foregoing may include the right to include your Communications in regression test suites.

5. EXCLUSION OF OTHER WARRANTIES. THE INTEL MATERIALS AND THE SITE ARE PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE OR ARISING FROM COURSE OF DEALING OR PERFORMANCE. Intel does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Intel Materials.

6. LIMITATION OF LIABILITY. IN NO EVENT SHALL INTEL OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR LOST INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE INTEL MATERIALS OR THE SITE, EVEN IF AN INTEL PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS PROHIBIT EXCLUSION OR LIMITATION OF LIABILITY FOR IMPLIED WARRANTIES OR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITA¬TION MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION. THE INTEL MATERIALS LICENSED HEREUNDER IS NOT DESIGNED OR INTENDED FOR USE IN ANY MEDICAL, LIFE SAVING OR LIFE SUSTAINING SYSTEMS, TRANSPORTATION SYSTEMS, NUCLEAR SYSTEMS, OR FOR ANY OTHER MISSION CRITICAL APPLICATION IN WHICH THE FAILURE OF THE INTEL MATERIALS COULD LEAD TO PERSONAL INJURY OR DEATH. THE WARRANTY DISCLAIMER AND LIMITED LIABILITY ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN INTEL AND YOU. INTEL WOULD NOT BE ABLE TO PROVIDE THE INTEL MATERIALS WITHOUT SUCH LIMITATIONS.

7. TERMINATION OR SUSPENSION. Intel may terminate the TOU at any time if you violate its terms. Upon termination, you will immediately destroy the Intel Materials and all copies thereof in your possession or return all copies of the Intel Materials to Intel. If you fail (or Intel reasonably believes you have failed) to comply with any terms of the TOU, Intel may at any time terminate or suspend you as a registered user to this Site. Notwithstanding any other provision of the TOU, Intel may suspend your status as a registered user to this Site if Intel believes it to be reasonable. Before suspending your account, Intel will notify you by e-mail to your registered e-mail address. You may terminate the TOU at any time by notifying Intel through html5tools@intel.com. Notwithstanding any termination of the TOU, except for the license in Section II(1)(A) and (B) hereof, all other provisions of the TOU shall survive and remain in full force and effect.

8. APPLICABLE LAWS. Claims arising under the TOU shall be governed by the laws of Delaware, excluding its principles of conflict of laws and the United Nations Convention on Contracts for the Sale of Goods. Intel is not obligated under any other agreements unless they are in writing and signed by an authorized representative of Intel.

9. TAXES. Each party shall be responsible for the payment of its own tax liability arising from this transaction (if any).

10. TRADE COMPLIANCE. You and or any of your subsidiaries shall not import, export, reexport, distribute or transfer either directly or indirectly, any product, service or technical data or system incorporating such items without first obtaining any required license or other approval from the U.S. and any other worldwide government agency that has jurisdiction over such trade activities.

11. ASSIGNMENT. Intel may assign its rights or delegate its obligations, or any part thereof under the TOU without prior consent from you. You may not assign, whether in conjunction with a change of ownership, merger, acquisition, sale or transfer of all, substantially all or any part of your business or assets or otherwise, either voluntarily, by operation of law of otherwise, any portion of the TOU. A transaction described in the preceding sentence shall constitute an assignment for purposes of this Section 11. Any attempt by you to assign or delegate any rights, duties or obligations set forth in the TOU without Intel's prior written consent shall be deemed a material breach of the TOU and shall be null and void. Except as provided above, the terms and conditions of the TOU shall bind and inure to each party' successors and assigns.

12. AMENDMENTS. Intel reserves the right, at its discretion, to modify the TOU, including any rules and policies at any time. 

13. GOVERNMENT RESTRICTED RIGHTS. The Intel Materials are provided with "RESTRICTED RIGHTS." Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its successor. Use of the Intel Materials by the Government constitutes acknowledg¬ment of Intel's proprietary rights therein. 1.      Partisipasi Dalam Program. Partisipasi dalam Program harus memperoleh persetujuan sebelumnya dari Google dan Anda harus selalu mematuhi Kebijakan Program ("Kebijakan Program") yang terdapat di https://www.google.com/adsense/policies, dan/atau URL lain yang mungkin disediakan Google dari waktu ke waktu. Google setiap saat berhak menolak partisipasi dari pihak pemohon atau peserta manapun atas kebijaksanaannya sendiri. Dengan mendaftar ke Program ini, Anda menyatakan telah berusia minimal 18 tahun dan menyetujui bahwa Google dapat menampilkan (a) iklan pihak ketiga dan/atau Google dan/atau konten lain (iklan pihak ketiga, iklan Google, dan konten lain secara keseluruhan disebut "Iklan") namun dengan ketentuan bahwa jika Google menampilkan konten non-kompensasi, Anda dapat menolak untuk menerima konten tersebut sebagai bagian dari Program, (b) kotak penelusuran Iklan dan atau pertanyaan Google yang terkait (secara keseluruhan disebut Tautan), (c) hasil penelusuran Web dan/atau Situs Google (secara keseluruhan disebut "Hasil Penelusuran"), dan/atau (d) Iklan arahan Google (Tombol Arahan) masing-masing yang terkait dengan situs web, pemutar media, konten video, dan/atau konten selular yang Anda tetapkan, atau properti lain yang dengan tegas diizinkan secara tertulis oleh Google (termasuk email) (properti lain tersebut dinamakan Properti Lain), serta Atom, RSS, atau feed lain yang didistribusikan melalui situs web, pemutar media, konten video, konten selular, dan/atau Properti Lain tersebut (situs web, pemutar media, konten video, konten selular, Properti Lain atau feed tersebut masing-masing disebut "Properti"). Untuk menegaskan, pernyataan apapun dalam Perjanjian atau Kebijakan Program ini pada setiap halaman web, situs web, halaman situs web, atau sejenisnya yang merupakan bagian dari Properti juga mencakup feed dan pemutar media yang didistribusikan melalui situs web tersebut. Beberapa akun yang dimiliki pengguna atau entitas yang sama dapat segera dihentikan kecuali jika dengan tegas diizinkan secara tertulis (termasuk melalui email) oleh Google.  Dalam kondisi-kondisi tertentu, Anda dapat mendaftar ke Program dan membuat akun dengan tujuan hanya untuk menerima pembayaran dari Google, dan bukan untuk tujuan penjelasan, penayangan Iklan, Tautan, Hasil Penelusuran, dan/atau Tombol Arahan di Properti, jika hal tersebut dengan tegas diizinkan secara tertulis (termasuk melalui email) oleh Google. Namun, jika kemudian Anda menggunakan Akun Anda untuk berpartisipasi dalam Program (untuk tujuan penayangan Iklan, Tautan, Hasil Penelusuran dan/atau Tombol Arahan di Properti), maka penggunaan Program akan diatur oleh Persyaratan Perjanjian ini.  Anda wajib mematuhi kebijakan privasi yang sesuai dan secara jelas mengungkapkan bahwa pihak ketiga dapat menempatkan dan membaca kuki di peramban pengguna Anda atau menggunakan beacon web untuk mengumpulkan informasi tentang serangkaian iklan yang ditayangkan di situs web Anda.  Kebijakan privasi Anda juga harus mencakup informasi tentang opsi pengguna untuk mengatur kuki.
2.      Penerapan dan Pengoperasian Iklan, Hasil Penelusuran, dan Arahan. Anda setuju untuk mematuhi spesifikasi yang disediakan Google dari waktu ke waktu untuk memungkinkan penayangan, tampilan, pelacakan, dan laporan Iklan, Tautan, Hasil Penelusuran, Tombol Arahan, dan Fitur Merek Google yang benar (seperti didefinisikan dalam Pasal 12 di bawah), terkait dengan Properti Anda, termasuk tanpa batasan, dengan tidak memodifikasi JavaScript atau program lain yang disediakan untuk Anda oleh Google dengan cara apapun, kecuali jika dengan tegas diizinkan secara tertulis (termasuk melalui email) oleh Google.
o    AdSense untuk Penelusuran. Jika Anda memilih untuk menerima Hasil Penelusuran, maka Properti Anda akan menampilkan kotak penelusuran Google ("Kotak Penelusuran") sesuai spesifikasi yang disediakan Google. Kecuali untuk pertanyaan Google yang terkait, semua pertanyaan penelusuran (termasuk pertanyaan yang dimasukkan dalam kotak penelusuran Iklan) harus berasal dari pengguna akhir perorangan yang secara langsung memasukkan data ke Kotak Penelusuran (atau kotak penelusuran Iklan, jika ada) pada Properti Anda. Anda akan mengirim setiap dan semua pertanyaan (tanpa mengedit, memfilter, menyingkat, menambahkan kata, atau memodifikasi pertanyaan tersebut secara terpisah atau gabungan) ke Google, dan Google akan melakukan upaya wajar secara komersial untuk menyediakan Hasil Penelusuran dan/atau Iklan yang sesuai kepada Anda, jika ada dan tersedia. Hasil Penelusuran dan Iklan apapun yang terkait akan ditampilkan pada halaman web yang mungkin di-host oleh Google (masing-masing disebut "Halaman Hasil Penelusuran"), dan format, tampilan, serta nuansa halaman web yang di-host oleh Google dapat setiap saat diubah oleh Google.
o    AdSense untuk Konten. Semua konten dan Iklan berbasis Properti (dan Iklan yang ditayangkan karena klik pengguna akhir dan pertanyaan yang dimasukkan ke Tautan, jika ada) akan dikelompokkan oleh Google serta ditampilkan dengan Tautan (jika sesuai) kepada pengguna akhir Properti sebagai unit iklan (grup Iklan dan/atau Tautan secara keseluruhan disebut "Unit IKlan") dalam format standar yang biasanya disediakan Google dari waktu ke waktu, seperti dijelaskan dalam Tanya Jawab. Anda dapat memilih format yang disetujui Google untuk tampilan Unit Iklan yang terkait dengan Properti, namun Anda memahami dan menyetujui bahwa Iklan dan/atau Tautan:(i) hanya akan ditampilkan terkait dengan Properti, yang masing-masing harus diperiksa dan disetujui oleh Google atas kebijaksanaannya; dan (ii) harus mematuhi panduan penempatan yang tercantum dalam Perjanjian ini.
o    Arahan. Jika telah memilih untuk menggunakan fitur Arahan Google AdSense, Anda akan menerapkan Tombol Arahan di Properti sesuai spesifikasi yang diberikan Google. Pengguna akhir yang mengklik Tombol Arahan akan diarahkan ke halaman web yang mungkin di-host oleh Google (Halaman Arahan), dan format, tampilan, serta nuansa halaman web yang di-host oleh Google tersebut dapat setiap saat diubah oleh Google. Aktivitas Arahan dimulai bila pengguna akhir mengklik Tombol Arahan dari Properti dan berakhir bila persyaratan arahan untuk produk yang relevan dipenuhi berdasarkan Perjanjian ini. Persyaratan arahan dan jumlah pembayaran yang berlaku untuk Aktivitas Arahan terdapat di https://www.google.com/adsense/referrals atau URL lain yang mungkin disediakan Google dari waktu ke waktu. Anda setuju untuk mematuhi spesifikasi yang diberikan Google dari waktu ke waktu untuk memungkinkan pelacakan dan laporan Aktivitas Arahan yang tepat terkait dengan Properti Anda. Anda tidak akan mempromosikan atau memfasilitasi Aktivitas Arahan dengan cara apapun selain menampilkan Tombol Arahan di Properti, kecuali jika dengan tegas diizinkan secara tertulis (termasuk melalui email) oleh Google.
o    AdSense untuk Video. Jika Anda memilih untuk menggunakan AdSense untuk Video, partisipasi Anda harus selalu mematuhi kebijakan Program AdSense untuk Video yang terdapat dihttp://adsense.google.com/support/bin/answer.py?answer=73987&hl=id_ID atau URL yang mungkin disediakan Google dari waktu ke waktu.  Semua Iklan (termasuk Iklan yang ditayangkan karena klik pengguna akhir dan pertanyaan yang dimasukkan ke Tautan, jika ada) akan (1) dikelompokkan oleh Google serta ditampilkan dengan Tautan (jika sesuai) kepada pengguna akhir Properti sebagai Unit Iklan atau (2) diputar pada bagian awal, akhir, dan interstisial terkait dengan konten video pihak ketiga, dan masing-masing menggunakan format standar yang biasanya disediakan oleh Google dari waktu ke waktu, seperti yang akan dijelaskan dalam kebijakan yang berlaku.  Anda memahami dan menyetujui bahwa Iklan akan ditampilkan di Properti dalam format video yang disetujui oleh Google, dan bahwa Iklan tersebut: (i) hanya akan ditampilkan terkait dengan Properti dan konten video selain iklan (secara keseluruhan disebut Media Video) yang masing-masing dan seluruhnya harus diperiksa dan disetujui oleh Google atas kebijaksanaannya setiap saat; dan (ii) hanya akan diminta terkait dengan Media Video yang dijalankan pengguna akhir.  Selain itu, Anda setuju bahwa Anda hanya dapat menampilkan 1 (satu) Unit Iklan di pemutar media setiap kali, kecuali jika disetujui secara tertulis oleh Google.
o    Umum; Halaman yang Dilayani; Pemfilteran; Fitur Beta. Anda setuju untuk tidak menampilkan iklan pada halaman web yang sama dengan Unit Iklan, Iklan, Tautan, Kotak Penelusuran, atau Tombol Arahan ("Halaman yang Dilayani") yang dapat membuat pengguna akhir Properti Anda secara wajar menganggapnya secara keliru sebagai iklan Google atau terkait dengan Google. Layanan Google tertentu yang tersedia sebagai bagian dari Program dapat memiliki kemampuan pemfilteran, misalnya SafeSearch atau AdSafe, yang dapat diakses melalui akun Anda. Namun, jika Anda memilih untuk mengaktifkan filter apapun, Anda memahami dan menyetujui bahwa: (i) Anda bertanggung jawab untuk mengaktifkan fitur tersebut sesuai spesifikasi yang diberikan Google, dan (ii) Google tidak dan tidak dapat memastikan bahwa semua hasil (termasuk Iklan, Tautan, dan Hasil Penelusuran) akan dibatasi pada hasil yang dipilih dengan mengaktifkan filter tersebut. Beberapa fitur Program disebut sebagai Beta atau tidak didukung (Fitur Beta).  Selama diizinkan oleh undang-undang yang berlaku, Fitur Beta diberikan "sebagaimana adanya" dan merupakan pilihan serta risiko yang Anda tanggung sendiri.  Anda tidak akan mengungkapkan informasi dari Fitur Beta, ketersediaan Fitur Beta nonpublik, atau akses ke Fitur Beta kepada pihak ketiga manapun.  
3.      Komunikasi Eksklusif Dengan Google. Anda setuju untuk berkomunikasi langsung dengan Google, dan bukan pengiklan lain, tentang Iklan atau Tautan yang ditampilkan terkait dengan Properti Anda.
4.      Tanggung Jawab Setiap Pihak. Anda bertanggung jawab penuh atas Properti, termasuk semua isi dan materi, pemeliharaan dan pengoperasiannya, penerapan spesifikasi Google yang sesuai, dan kepatuhan terhadap persyaratan Perjanjian ini, termasuk kepatuhan terhadap Kebijakan Program. Google atas kebijaksanaannya berhak memeriksa aktivitas yang mungkin melanggar Perjanjian ini, termasuk namun tidak terbatas pada penggunaan aplikasi perangkat lunak untuk mengakses Iklan, Tautan, Hasil Penelusuran, Tombol Arahan, atau menyelesaikan Aktivitas Arahan maupun keterkaitan dalam aktivitas yang dilarang berdasarkan Perjanjian ini. Google tidak bertanggung jawab atas apapun yang terkait dengan Properti Anda, termasuk tanpa batasan, permintaan pertanyaan dari pengguna akhir Properti Anda atau pengiriman data antara Properti Anda dan Google. Selain itu, Google tidak berkewajiban untuk memberikan pemberitahuan kepada Anda jika Iklan, Tautan, Hasil Penelusuran, atau Tombol Arahan tidak ditampilkan dengan benar kepada atau Aktivitas Arahan tidak diselesaikan dengan benar oleh pengguna akhir Properti.
5.      Penggunaan yang Dilarang. Anda tidak boleh, dan tidak boleh memberikan wewenang atau mendorong pihak ketiga untuk: (i) secara langsung atau tidak langsung menghasilkan pertanyaan, Aktivitas Arahan, atau tayangan maupun klik pada Iklan, Tautan, Hasil Penelusuran, atau Tombol Arahan (termasuk tanpa batasan, klik putar untuk Iklan video) melalui cara otomatis, penipuan, pemalsuan, atau cara tidak sah lainnya, termasuk namun tidak terbatas pada klik manual berulang, penggunaan robot atau alat pertanyaan otomatis lainnya, dan/atau permintaan penelusuran dari komputer, dan/atau penggunaan perangkat lunak dan/atau layanan pengoptimalan mesin penelusuran yang tidak sah; (ii) mengedit, memodifikasi, memfilter, menyingkat, atau mengubah urutan informasi yang terdapat pada Iklan, Tautan, Unit Iklan, Hasil Penelusuran, maupun Tombol Arahan, atau menghapus, menyamarkan, maupun memperkecil Iklan, Tautan, Unit Iklan, Hasil Penelusuran, atau Tombol Arahan dengan cara apapun tanpa izin dari Google; (iii) meniru, memperkecil, menghapus, atau menghalangi tampilan Halaman web secara utuh dan lengkap yang diakses oleh pengguna akhir setelah mengklik bagian Iklan ("Halaman Pengiklan"), Halaman Hasil Penelusuran, atau Halaman Arahan apapun; (iv) mengarahkan ulang pengguna akhir dari Halaman Pengiklan, Halaman Hasil Penelusuran, atau Halaman Arahan; menyediakan versi Halaman Pengiklan, Halaman Hasil Penelusuran, atau Halaman Arahan yang berbeda dari halaman yang akan diakses pengguna akhir dengan secara langsung membuka Halaman Pengiklan, Halaman Hasil Penelusuran, atau Halaman Arahan; menambahkan konten apapun di antara Iklan dan Halaman Pengiklan, di antara halaman berisi Kotak Penelusuran dan Halaman Hasil Penelusuran, atau antara Tombol Arahan dan Halaman Arahan; atau memberikan apapun selain tautan langsung dari Iklan ke Halaman Pengiklan, dari halaman berisi Kotak Penelusuran ke Halaman Hasil Penelusuran, atau dari Tombol Arahan ke Halaman Arahan; (v) menampilkan Iklan, Tautan, atau Tombol Arahan pada halaman web atau situs web apapun yang berisi konten pornografi, mengandung kebencian, kekerasan, atau ilegal; (vi) secara langsung atau tidak langsung mengakses, menjalankan, dan/atau mengaktifkan Iklan, Tautan, Hasil Penelusuran, atau Tombol Arahan melalui, dari, maupun dalam Iklan, Tautan, Hasil Penelusuran, atau Tombol Arahan dalam aplikasi perangkat lunak, situs web, maupun yang lainnya selain Properti Anda, kecuali hanya sebatas yang diizinkan secara tersurat dalam Perjanjian ini; (vii) "merayap", "melakukan spider", mengindeks, atau mengumpulkan maupun menyimpan secara permanen informasi dalam tembolok yang diperoleh dari Iklan, Tautan, Hasil Penelusuran, atau Aktivitas Arahan, maupun bagian, salinan, karya turunannya; (viii) melakukan tindakan yang melanggar Kebijakan Program yang ditampilkan di Situs Web Google , sebagaimana direvisi dari waktu ke waktu, atau perjanjian lain antara Anda dan Google (termasuk namun tidak terbatas pada persyaratan program Google AdWords); (ix) menyebarluaskan program jahat; (x) membuat akun baru untuk menggunakan Program setelah Google menghentikan Perjanjian ini dengan Anda sebagai akibat pelanggaran Perjanjian; atau (xi) terlibat dalam tindakan maupun praktik yang berdampak buruk bagi Google atau mempermalukan maupun merendahkan reputasi atau niat baik Google. Anda memahami bahwa upaya keterlibatan atau pelanggaran apapun terhadap hal yang telah disebutkan di atas merupakan pelanggaran material terhadap Perjanjian ini dan kami dapat melakukan semua upaya hukum yang tersedia, termasuk penangguhan akun dengan segera atau penghentian Perjanjian, dan melakukan semua upaya hukum perdata dan pidana yang memungkinkan.
6.      Penghentian; Pembatalan. Dengan tunduk pada perjanjian pihak ketiga lain yang mungkin ada antara Anda dengan pelanggan Google lain (misalnya perusahaan hosting web), Anda dapat setiap saat berhenti menampilkan Iklan, Tautan, Kotak Penelusuran, atau Tombol Arahan di Properti dalam Program dengan atau tanpa alasan dengan menghapus Google JavaScript atau program sejenis dari Properti Anda.Anda dapat setiap saat menghentikan Perjanjian ini dengan atau tanpa alasan dengan mengirim pemberitahuan tertulis tentang keinginan membatalkan partisipasi dalam Program ke adsense-support@google.com.Perjanjian ini akan dianggap berakhir dalam waktu 10 (sepuluh) hari kerja sejak Google menerima pemberitahuan Anda. Google dapat memeriksa aktivitas apapun yang mungkin melanggar Perjanjian ini. Google dapat setiap saat menghentikan sebagian atau seluruh Program, menghentikan Perjanjian ini, atau menangguhkan maupun menghentikan partisipasi Properti pada sebagian atau seluruh Program atas kebijaksanaannya sendiri karena alasan apapun. Selain itu, Google berhak menghentikan, tanpa pemberitahuan sebelumnya, akun yang belum menghasilkan jumlah klik yang memadai pada Iklan, Tombol Arahan, atau tayangan Iklan yang valid (masing-masing berdasarkan penilaian Google) selama 2 (dua) bulan atau lebih. Setelah penghentian partisipasi Properti dalam Program atau penghentian Perjanjian ini karena alasan apapun, Pasal 3, 6 hingga 10, dan 14 hingga 17 akan tetap berlaku.
7.      Kerahasiaan. Anda setuju untuk tidak mengungkapkan Informasi Rahasia Google tanpa persetujuan tertulis sebelumnya dari Google. "Informasi Rahasia Google" mencakup namun tidak terbatas pada: (a) semua perangkat lunak, teknologi, program, spesifikasi, materi, panduan, dan dokumen Google yang terkait dengan Program; (b) rasio klik-tayang atau statistik lain yang terkait dengan kinerja Properti dalam Program yang diberikan oleh Google kepada Anda; dan (c) informasi lain yang ditetapkan secara tertulis sebagai "Rahasia" oleh Google  atau ketetapan yang setara. Namun, Anda dapat secara akurat mengungkapkan jumlah pembayaran kotor Google kepada Anda berdasarkan Program. Informasi Rahasia Google tidak mencakup informasi yang telah diketahui secara umum tanpa melalui pelanggaran oleh Anda atau Google, maupun informasi yang (i) didapat secara independen tanpa akses ke Informasi Rahasia Google, sebagaimana dibuktikan secara tertulis; (ii) Anda terima dari pihak ketiga secara sah; atau (iii) wajib diungkapkan menurut undang-undang atau lembaga pemerintah yang berwenang.
8.      Tidak Ada Jaminan. Google tidak menjamin tingkat tayangan Iklan atau klik pada Iklan maupun Tombol Arahan, waktu penayangan iklan dan/atau klik, penyelesaian Aktivitas Arahan, atau jumlah pembayaran yang Anda terima dalam Perjanjian ini.  Selain itu, untuk menegaskan, Google tidak menjamin bahwa Program akan beroperasi setiap saat atau selama masa nonaktif (i) disebabkan oleh putusnya rangkaian jalur, jaringan, atau server internet publik, (ii) disebabkan oleh kegagalan peralatan, sistem, atau layanan akses lokal, (iii) pada pemeliharaan terjadwal sebelumnya, atau (iv) terkait dengan kondisi di luar kontrol Google (atau anak perusahaan yang dimiliki sepenuhnya) seperti aksi mogok, kerusuhan, kudeta, kebakaran, banjir, ledakan, perang, tindakan pemerintah, kondisi ketenagakerjaan, gempa bumi, bencana alam, atau gangguan layanan internet di wilayah tempat beroperasinya server Anda atau Google (atau anak perusahaan yang dimiliki sepenuhnya).
9.      Tidak Ada Jaminan. GOOGLE TIDAK MENJAMIN, SECARA TERSURAT MAUPUN TERSIRAT, TERMASUK NAMUN TIDAK TERBATAS PADA IKLAN, TAUTAN, PENELUSURAN, ARAHAN, MAUPUN LAYANAN LAIN, DAN SECARA TEGAS TIDAK MENJAMIN MENGENAI NONPELANGGARAN, KELAYAKAN UNTUK DIPERDAGANGKAN, DAN KESESUAIAN UNTUK TUJUAN TERTENTU. JIKA IKLAN, TAUTAN, DAN HASIL PENELUSURAN DIDASARKAN PADA ATAU DITAMPILKAN TERKAIT DENGAN KONTEN NON-GOOGLE, MAKA GOOGLE TIDAK TIDAK BERTANGGUNG JAWAB ATAS TAMPILAN IKLAN, TAUTAN, DAN HASIL PENELUSURAN TERSEBUT.
10.  Batasan Tanggung Jawab; Keadaan Memaksa. KECUALI UNTUK KEWAJIBAN PERLINDUNGAN TERHADAP KERUGIAN DAN KERAHASIAAN YANG TERCANTUM DALAM PERJANJIAN INI ATAU PELANGGARAN ANDA TERHADAP HAK ATAS KEKAYAAN INTELEKTUAL DAN/ATAU KEPENTINGAN EKSKLUSIF TERKAIT DENGAN PROGRAM, (i) DALAM KONDISI APAPUN, MASING-MASING PIHAK TIDAK BERTANGGUNG JAWAB BERDASARKAN PERJANJIAN INI ATAS KERUGIAN KONSEKUENSIAL, KHUSUS, TIDAK LANGSUNG, SEBAGAI PERINGATAN, ATAU SEBAGAI HUKUMAN, BAIK BERDASARKAN KONTRAK, WANPRESTASI, ATAU TEORI HUKUM LAINNYA, MESKIPUN PIHAK TERSEBUT TELAH DIBERITAHUKAN TENTANG KERUGIAN TERSEBUT DAN TANPA MENGABAIKAN KEGAGALAN TUJUAN UTAMA DARI UPAYA HUKUM TERBATAS DAN (ii) KEWAJIBAN KUMULATIF GOOGLE KEPADA PENAYANG DALAM PERJANJIAN INI ATAS SETIAP KLAIM TERBATAS PADA JUMLAH BERSIH YANG DIBAYARKAN GOOGLE KEPADA PENAYANG SELAMA JANGKA WAKTU TIGA BULAN SEGERA SEBELUM TANGGAL PENGAJUAN KLAIM. Setiap pihak memahami bahwa pihak lain yang menyepakati Perjanjian ini mengandalkan batasan kewajiban yang telah disebutkan dan batasan tersebut merupakan dasar penting bagi penawaran antarpihak. Tanpa membatasi hal yang telah disebutkan sebelumnya dan kecuali untuk kewajiban pembayaran, setiap pihak tidak bertanggung jawab atas kegagalan atau keterlambatan yang disebabkan oleh kondisi di luar kontrol yang wajar dari pihak tersebut, termasuk namun tidak terbatas pada tindakan pemerintah atau terorisme, gempa bumi, atau bencana alam lainnya, kondisi ketenagakerjaan, dan gangguan listrik.
11.  Pembayaran. Anda akan menerima pembayaran yang terkait dengan jumlah klik Iklan yang valid, jumlah tayangan Iklan yang valid, dan jumlah penyelesaian Aktivitas Arahan yang valid melalui Tombol Arahan yang ditampilkan terkait dengan Properti Anda, dan/atau aktivitas yang dilakukan terkait dengan penayangan Iklan di Properti Anda, seperti ditentukan oleh Google untuk peserta Program dalam setiap kasus. Jika Anda memilih untuk menerima Hasil Penelusuran, pembayaran ini akan dikompensasikan dengan biaya yang timbul untuk Hasil Penelusuran. Kecuali jika disetujui lain oleh setiap pihak secara tertulis (termasuk melalui email), pembayaran kepada Anda akan dikirim oleh Google kira-kira dalam waktu 30 (tiga puluh) hari setelah akhir setiap bulan di mana Iklan atau Tombol Arahan berjalan di Properti Anda atau Iklan berjalan pada Halaman Hasil Penelusuran jika saldo penghasilan Anda mencapai $100 atau lebih. Jika Perjanjian ini berakhir, Google akan membayarkan saldo penghasilan Anda dalam waktu kira-kira 90 (sembilan puluh) hari setelah akhir bulan di mana Perjanjian dihentikan oleh Anda (setelah Google menerima permintaan tertulis dari Anda, termasuk melalui email, untuk menghentikan Perjanjian) atau oleh Google. Namun, dalam kondisi apapun, Google tidak akan membayar saldo penghasilan yang kurang dari $10. Tanpa mengabaikan hal-hal yang telah disebutkan sebelumnya, Google tidak berkewajiban melakukan pembayaran atas: (a) jumlah yang timbul karena pertanyaan yang tidak valid, Aktivitas Arahan yang tidak valid, atau klik maupun tayangan Iklan yang dihasilkan oleh pengguna, bot, program otomatis, atau perangkat sejenis, seperti yang ditetapkan secara wajar oleh Google, termasuk namun tidak terbatas pada klik atau tayangan apapun yang (i) berasal dari alamat IP atau komputer dalam kendali Anda, (ii) diminta berdasarkan pembayaran uang, pernyataan yang salah, atau permintaan ilegal maupun tidak valid agar pengguna akhir menyelesaikan Aktivitas Arahan; (b) Iklan atau Tombol Arahan yang dikirim kepada pengguna akhir yang perambannya menonaktifkan JavaScript; (c) Iklan yang menguntungkan organisasi amal dan Iklan pengganti atau transparan yang mungkin ditampilkan Google; atau (d) klik yang digabungkan dengan sejumlah besar klik tidak valid yang dijelaskan pada (a) di atas, atau akibat pelanggaran Perjanjian ini oleh Anda dalam jangka waktu pembayaran yang berlaku. Google berhak menangguhkan pembayaran atau menagih kembali akun Anda karena alasan apapun yang disebutkan di atas atau pelanggaran Perjanjian ini oleh Anda selama berlangsungnya pemeriksaan yang wajar oleh Google atas hal-hal yang disebutkan di atas atau pelanggaran Perjanjian ini oleh Anda, atau dalam hal pengiklan yang Iklannya ditampilkan terkait dengan Properti Anda tidak melakukan pembayaran untuk Iklan tersebut kepada Google. Selain itu, jika Anda terlambat melakukan pembayaran kepada Google terkait dengan program Google (termasuk namun tidak terbatas pada program Google AdWords), maka Google berhak menangguhkan pembayaran hingga semua pembayaran terutang diselesaikan atau menjumpakannya dengan pembayaran yang terutang kepada Anda terkait dengan Program tersebut sebesar jumlah utang Anda kepada Google. Untuk memastikan pembayaran yang tepat, Anda sepenuhnya bertanggung jawab untuk menyediakan serta selalu menginformasikan alamat yang benar dan informasi kontak lainnya sekaligus informasi pembayaran yang terkait dengan akun Anda. Untuk pembayar pajak di A.S., informasi ini mencakup namun tidak terbatas pada nomor identitas pajak A.S. dan Formulir W-9 yang telah dilengkapi. Untuk pembayar pajak di luar A.S., informasi ini mencakup namun tidak terbatas pada pernyataan yang telah ditandatangani bahwa pembayar pajak tidak melakukan Aktivitas di A.S. (seperti dijelaskan di Google AdSense: Halaman Informasi Pajak yang terdapat di https://www.google.com/adsense/taxinfo, maupun URL lain yang mungkin disediakan Google dari waktu ke waktu) atau Formulir W-8 maupun formulir lainnya yang telah dilengkapi, dan mungkin memerlukan nomor identitas pajak A.S. yang valid, sesuai permintaan otoritas pajak di A.S. Biaya bank yang terkait dengan cek yang dikembalikan atau dibatalkan karena kesalahan maupun kurangnya informasi kontak atau pembayaran dapat dipotong dari pembayaran baru yang diberikan. Anda setuju untuk membayar semua pajak atau biaya berlaku yang ditetapkan oleh lembaga pemerintah, terkait dengan partisipasi Anda dalam Program. Google dapat setiap saat mengubah struktur pembayaran dan/atau biaya. Jika Anda mengajukan keberatan terhadap pembayaran dalam Program, Anda harus memberitahukannya kepada Google secara tertulis dalam waktu 30 (tiga puluh) hari sejak pembayaran tersebut; kelalaian untuk memberitahukannya kepada Google akan dianggap sebagai pengesampingan hak klaim apapun oleh Anda terkait dengan pembayaran yang dimaksud. Pembayaran hanya akan dihitung berdasarkan data yang dimiliki Google. Penghitungan atau statistik lain tidak akan diterima oleh Google atau memiliki pengaruh dalam Perjanjian ini. Pembayaran dalam Perjanjian ini hanya digunakan oleh Anda dan tidak dapat ditransfer atau dialihkan dengan cara apapun kepada pihak ketiga (yakni didistribusikan ke Properti yang dikelola oleh Anda, sehingga diperlukan pembayaran terpisah), kecuali jika diizinkan secara tertulis oleh Google (termasuk melalui email). Google dapat setiap saat menangguhkan dana, pembayaran, dan biaya lainnya yang harus dibayarkan kepada Anda terkait dengan Program AdSense. Anda memahami dan menyetujui bahwa Google dapat, tanpa pemberitahuan lebih lanjut kepada Anda, memberikan kontribusi kepada organisasi amal yang dipilih Google untuk semua dana, pembayaran, dan biaya lain yang terkait dengan Program AdSense yang dimiliki Google dan terutang kepada Anda (jika ada), namun tidak dapat dibayarkan atau diberikan kepada Anda karena akun Anda Tidak Aktif (seperti dijelaskan di bawah ini). Tidak Aktif berarti bahwa berdasarkan data Google: (a) selama jangka waktu 2 (dua) tahun atau lebih, Anda tidak masuk ke akun Anda atau menerima dana, pembayaran, maupun biaya lain yang berusaha dibayarkan atau diberikan Google kepada Anda, dan (b) Google tidak dapat menghubungi Anda, atau tidak menerima petunjuk pembayaran yang memadai dari Anda, setelah menghubungi Anda di alamat yang terdapat dalam data Google.
12.  Publisitas. Anda setuju bahwa Google dapat menggunakan nama dan logo Anda dalam presentasi, materi pemasaran, daftar pelanggan, laporan keuangan, daftar pelanggan di situs web, Halaman Hasil Penelusuran, dan Halaman Arahan. Jika Anda ingin menggunakan nama dagang, merek dagang, merek layanan, logo, nama domain Google, dan fitur merek unik Google lainnya ("Fitur Merek"), Anda dapat melakukannya selama penggunaan tersebut mematuhi Perjanjian ini dan mematuhi panduan penggunaan Fitur Merek Google yang berlaku saat itu, serta konten yang terdapat atau direferensikan di dalamnya, dan panduannya dapat ditemukan di URL berikut: http://www.google.co.id/permissions/guidelines.html (atau URL lain yang mungkin disediakan Google dari waktu ke waktu).
13.  Pernyataan dan Jaminan. Anda menyatakan dan menjamin bahwa (a) semua informasi yang disediakan oleh Anda kepada Google untuk bergabung dalam Program adalah benar dan terkini; (b) Anda merupakan pemilik atas Properti atau Anda diberi kewenangan secara hukum untuk bertindak atas nama pemilik Properti tersebut untuk keperluan Program dan Perjanjian ini; (c) Anda memiliki semua hak, kuasa, dan kewenangan yang diperlukan untuk menyepakati Perjanjian ini dan melakukan tindakan yang harus dilakukan Anda berdasarkan Perjanjian ini; dan (d) Anda telah mematuhi dan akan terus mematuhi semua undang-undang, ketetapan, ketentuan, dan peraturan (termasuk namun tidak terbatas pada CAN-SPAM Act tahun 2003 serta hukum privasi atau perlindungan data yang relevan) dalam tindakan Anda berdasarkan Perjanjian ini. Selain itu, jika Situs Anda adalah pemutar media (1) Anda menyatakan dan menjamin bahwa Anda memiliki lisensi yang valid untuk menggunakan dan mendistribuskan pemutar media tersebut (termasuk semua konten di dalamnya, termasuk namun tidak terbatas pada Iklan atau Unit Iklan) untuk keperluan Program dan Perjanjian ini; dan (2) Anda harus memastikan bahwa pemutar media yang terdapat di Situs tersebut akan mematuhi syarat dan ketentuan yang tercantum dalam Perjanjian ini. Selanjutnya Anda menyatakan dan menjamin bahwa setiap Properti dan materi apapun yang ditampilkan di dalamnya: (i) mematuhi semua undang-undang, ketetapan, ketentuan, dan peraturan yang berlaku; (ii) tidak melanggar atau belum pernah melanggar kewajiban atau hak pihak atau entitas manapun, termasuk namun tidak terbatas pada, hak atas kekayaan intelektual, publisitas atau privasi, maupun hak atau kewajiban berdasarkan perlindungan konsumen, kewajiban produk, wanprestasi, atau teori kontrak; dan (iii) tidak berisi konten pornografi, mengandung kebencian, atau kekerasan.
14.  Kewajiban Anda untuk Memberikan Perlindungan Terhadap Kerugian. Anda setuju untuk melindungi, membela, dan membebaskan Google, agen, afiliasi, anak perusahaan, direktur, pejabat, karyawan, dan pihak ketiga yang sesuai (misalnya pengiklan, mitra sindikasi, pemberi lisensi, pemegang lisensi, konsultan, dan kontraktor yang relevan) (bersama-sama disebut "Pihak yang Dilindungi") dari dan terhadap setiap dan semua klaim, kewajiban, kerugian, dan biaya pihak ketiga (termasuk penetapan ganti rugi, biaya penyelesaian perdamaian, dan biaya hukum yang wajar) yang diminta kepada Pihak yang Dilindungi, yang timbul, terkait dengan, atau disebabkan oleh penggunaan Program, Properti oleh Anda, dan/atau pelanggaran persyaratan Perjanjian ini oleh Anda.
15.  Hak Google. Anda memahami bahwa Google memiliki semua hak, kuasa, dan kepentingan, termasuk namun tidak terbatas pada, semua Hak Atas Kekayaan Intelektual (seperti dijelaskan di bawah ini) dalam dan terhadap Program (termasuk teknologi penayangan iklan, teknologi penelusuran, dan Fitur Merek Google, termasuk lisensi tersirat, kecuali item yang diberikan lisensinya oleh Google dari pihak ketiga dan kecuali pemutar media pihak ketiga dalam Properti), dan Anda tidak akan memiliki hak, kuasa, atau kepentingan dalam dan terhadap Program, kecuali seperti yang dinyatakan secara tertulis dalam Perjanjian ini.Anda tidak akan memodifikasi, mengadaptasi, menerjemahkan, mempersiapkan karya turunan, menguraikan, merekayasa balik, membongkar, atau mencoba mengambil kode sumber dari layanan, perangkat lunak, atau dokumen Google, maupun membuat atau berupaya membuat layanan maupun produk pengganti atau yang mirip melalui penggunaan atau pengaksesan Program maupun informasi eksklusif yang terkait. Anda tidak akan menghapus, menyamarkan, atau mengubah pemberitahuan hak cipta, Fitur Merek, atau pemberitahuan hak eksklusif Google yang melekat atau terdapat dalam layanan, perangkat lunak, atau dokumen Google (termasuk namun tidak terbatas pada tampilan Fitur Merek Google pada Iklan, Tautan, Kotak Penelusuran, dan/atau Tombol Arahan, jika ada). "Hak Atas Kekayaan Intelektual" adalah setiap dan semua hak yang tersedia setiap saat berdasarkan undang-undang paten, undang-undang hak cipta, undang-undang perlindungan chip semikonduktor, undang-undang hak moral, undang-undang rahasia dagang, undang-undang merek dagang, undang-undang persaingan tidak sehat, undang-undang hak publisitas, undang-undang hak privasi, serta setiap dan semua hak eksklusif lainnya, sekaligus setiap dan semua aplikasi, pembaruan, perluasan, pemulihan, dan pengembaliannya, yang berlaku sekarang atau di masa mendatang di seluruh dunia.
16.  Hak Informasi. Google dapat menyimpan dan menggunakan, dengan tunduk pada persyaratan Kebijakan Privasi Google (terdapat di http://www.google.co.id/privacy.html, atau URL lain yang mungkin disediakan Google dari waktu ke waktu), semua informasi yang Anda berikan, termasuk namun tidak terbatas pada, informasi penagihan dan kontak serta demografi Properti. Anda setuju bahwa Google dapat mentransfer dan mengungkapkan informasi identitas pribadi tentang Anda kepada pihak ketiga untuk menyetujui dan mengaktifkan partisipasi Anda dalam Program, termasuk kepada pihak ketiga yang berada di wilayah hukum dengan undang-undang data yang tidak seketat undang-undang di wilayah hukum Anda. Google juga dapat memberikan informasi terkait dengan proses hukum yang valid, seperti panggilan pengadilan, perintah penggeledahan, dan perintah pengadilan, atau menegakkan maupun menerapkan hak hukum maupun melakukan pembelaan terhadap gugatan hukum. Namun, Google tidak bertanggung jawab dan tidak akan berkewajiban kepada Anda atas pengungkapan informasi tersebut oleh pihak ketiga tersebut. Google dapat memberikan informasi selain identitas pribadi tentang Anda, termasuk URL Properti, statistik khusus Properti, dan informasi sejenis yang dikumpulkan oleh Google, kepada pengiklan, mitra usaha, sponsor, serta pihak ketiga lainnya. Selain itu, Anda memberikan hak kepada Google untuk mengakses, mengindeks, dan menyimpan Properti maupun sebagian Properti dalam tembolok, termasuk melalui cara otomatis, yang mencakup spider atau perayap web.
17.  Ketentuan Lain. Perjanjian ini diatur oleh hukum California, kecuali prinsip-prinsip konflik antar-hukum yang diatur di dalamnya. Perselisihan atau klaim apapun yang timbul dari atau sehubungan dengan Perjanjian ini akan diputuskan di Santa Clara County, California. Secara khusus, para pihak mengesampingkan pemberlakuan United Nations Convention on Contract for the International Sale of Good and Uniform Computer Information Transaction Act (Konvensi PBB Tentang Kontrak Penjualan Barang Internasional dan Undang-Undang Keseragaman Transaksi Informasi Komputer) terhadap Perjanjian ini. Perjanjian ini merupakan keseluruhan perjanjian antara para pihak tentang materi pokok yang tercantum di dalamnya. Perubahan apapun terhadap Perjanjian ini harus dibuat secara tertulis oleh kedua pihak, melalui persetujuan online oleh Anda terhadap ketentuan-ketentuan terbaru, atau setelah Anda melanjutkan partisipasi dalam Program setelah persyaratan tersebut diperbarui oleh Google. Kelalaian meminta diterapkannya ketentuan apapun tidak akan mempengaruhi hak salah satu pihak untuk setiap saat meminta diterapkannya ketentuan tersebut setelahnya, dan pengesampingan terhadap pelanggaran atau kelalaian mematuhi Perjanjian ini tidak akan menyebabkan pengesampingan terhadap pelanggaran maupun kelalaian berikutnya atau pengesampingan terhadap ketentuan yang terkait. Jika ketentuan dalam Perjanjian ini tidak dapat diberlakukan, maka ketentuan tersebut akan diubah untuk mencerminkan maksud dari para pihak dan ketentuan lainnya dalam Perjanjian ini akan tetap memiliki kekuatan hukum penuh. Anda tidak boleh menjual kembali, memberikan, atau mentransfer hak Anda dalam Perjanjian ini. Upaya tersebut dapat menyebabkan dihentikannya Perjanjian ini, tanpa tanggung jawab dari Google. Tanpa mengesampingkan hal-hal yang telah disebutkan sebelumnya, Google dapat setiap saat mengalihkan Perjanjian ini kepada afiliasinya tanpa pemberitahuan sebelumnya. Hubungan antara Google dan Anda bukan merupakan hubungan hukum kemitraan, melainkan merupakan hubungan kontrak yang independen.

Terms of Service

MEGA LIMITED TERMS OF SERVICE ("TERMS")

1. Welcome to MEGA. We are an Internet services provider and provide services made available at our website at https://mega.co.nz, subdomains and related sites ("website"), which enables users (depending which MEGA plan they are on), amongst other things, to encrypt by way of user controlled encryption ("UCE"), use our application programming interface ("API"), upload, store, manage, download and decrypt files, information, material and other data ("data") and give access to that data to others (all together, services). If you have questions about how to use our services or the great things you can do with Mega, see our FAQ first.
2. These terms are binding and apply to any use of the services and website by you and anyone that you allow to access your data or our services. By using our services or the website, you and they irrevocably agree to these terms. If you do not like these terms or don't want to be bound, you can't use our services and the website.
3. We can change these terms at any time and we will provide you notice of the change, whether via our website, by sending you an email or via any messaging service we provide. Your continued use after that notice means that you agree to the changed terms.
4. If you comply with these terms, then we grant you a non-exclusive, non-transferable, worldwide licence to access and use our service via the website in accordance with these terms and any plan you have subscribed for.

Your data

5. If you allow others to access your data (e.g. by, amongst other things, giving them a link to, and a key to decrypt, that data), in addition to them accepting these terms, you are responsible for their actions and omissions while they are using the website and services and you agree to fully indemnify us for any claim, loss, damage, fine, costs (including our legal fees) and other liability if they breach any of these terms.
6. Our service includes UCE. You should keep your encryption keys safe and confidential and not release them to anyone unless you wish them to have access to your data. If you lose or misplace your encryption keys, you will lose access to your data. We strongly urge you to use robust anti-virus and firewall protection.
7. You must maintain copies of all data stored by you on our service. We do not make any guarantees that there will be no loss of data or the services will be bug free. You are completely responsible to remove all data prior to termination of services.
8. Our service may automatically delete a piece of data you upload or give someone else access to where it determines that that data is an exact duplicate of original data already on our service. In that case, you will access that original data.
9. We will store your data on our service subject to these terms and any plan you subscribe to. If you choose to stop using our services, you need to make sure you retrieve your data first because, after that, we may, if we wish, delete it. If we suspend our services to you because you or someone you have given access to has breached these terms, during the term of that suspension, we may if we wish deny you access to your data. If we terminate our services to you because you or someone you have given access to has breached these terms, we may if we wish delete your data immediately. In circumstances where we cease providing all our services for other reasons, we will, if reasonably practicable and we are not prevented by law from doing so, give you 30 days access to retrieve your data.

What does it cost you?

10. Once you have purchased a plan for our services, you need to pay the fees (if any) for that plan (and any other taxes or duties). We can also change the fees for our services at any time if we give you notice. You can't withhold payment for any reason or claim any set-off without getting our written agreement.
11. If at any time you do not make a payment to us when you are supposed to (including on termination), we can (and this doesn't affect any other rights we may have against you)...
11.1 ...make you pay, on demand, default interest on any amount you owe us at 10% per annum calculated on a daily basis, from the date when payment was due until the date when payment is actually made by you. You will also need to pay all expenses and costs (including our legal costs) in connection with us trying to recover any unpaid amount from you; and/or
11.2 ...suspend or terminate your use of the service.

What you must do

12. You must:
12.1 make sure you always give us and keep up to date your correct contact and billing details, particularly if these change;
12.2 comply with these terms and any other agreements you have with us;
12.3 make sure that you comply with all laws and rules that relate to your use of the website, the service and any data you upload to our service.

Intellectual Property

Our IP

13. The license that we give you to use the website and our services does not give you the right, and you can't reproduce or use any of our copyright, intellectual property or other rights other than for the purposes of using the services and the website or as allowed under any open source licences under which we use intellectual property provided by others. The open source code that we use, where we obtained it, and licences for that code are all referenced in our FAQ.
14. You are not allowed to, and you can't let anyone else, copy, alter, distribute, display, licence, modify or reproduce, reverse assemble, reverse compile (whether digitally, electronically, by linking, or in hard copy or by any means whatsoever) or use any of our copyright, intellectual property or other rights without getting our permission first in writing, unless in order to use our services and the website or as allowed under any open source licences under which we use intellectual property provided by others. The open source code that we use, where we obtained it, and licences for that code are all referenced in our FAQ.
15. Without limiting any other provision of these terms, you are only permitted to use the API if: you register at the developer registration page and agree that you may only publish or make available your application after we have approved it pursuant to our application approval process and license agreement available on request at api@mega.co.nz.

Your IP


16. You own, or warrant that you are authorised to use, any intellectual property in any data you store on, use, download, upload or otherwise transmit to or from, our service. You grant us a worldwide, royalty free licence to use, store, back-up, copy, transmit, distribute, communicate and otherwise make available, your data, for the purposes of enabling you and those you give access to, to use the website and the services and for any other purpose related to provision of the services to you.

What you can't do

17. You can't:
17.1 assign or transfer any rights you have under these terms to any other person without getting our written agreement;
17.2 do anything that would damage, disrupt or place an unreasonable burden on our website or service or anyone else's use of our website or a service including but not limited to denial of service attacks or similar;
17.3 infringe anyone else's intellectual property (including but not limited to copyright) or other rights in any material.
17.4 resell or otherwise supply our services to anyone else without our prior written consent;
17.5 use our website or a service, including, without limitation, any communication tools available through the website, or any forum, chat room or message centre that we provide:
17.5.1 to store, use, download, upload or otherwise transmit, data in violation of any law (including to breach copyright or other intellectual property held by us or anyone else);
17.5.2 to send unwelcome communications of any kind (including but not limited to unlawful unsolicited commercial communications) to anyone (e.g. spam or chain letters);
17.5.3 to abuse, defame, threaten, stalk or harass anyone;
17.5.4 to store, use, download, upload or otherwise transmit, unsuitable, offensive, obscene or discriminatory information of any kind;
17.5.5 to run any network scanning software, spiders, spyware, robots, open relay software or similar software;
17.5.6 to upload anything or otherwise introduce any spyware, viruses, worms, trojan horses, time bombs or bots or any other damaging items which could interfere with our, or anyone else's, network or computer system;
17.5.7 to use any software or device which may hinder the services (like mail bombs, war dialing, pinging etc.);
17.5.8 to attempt to gain unauthorised access to any services other than those to which you have been given express permission to access; or
17.5.9 to try to trick or defraud anyone for any reason (e.g. by claiming to be someone you are not).
18. If you register with us, we will provide you with a password to associate with your specific username. You need to make sure your username and password is secure and confidential. Make sure you tell us straight away if you think or know someone else has used your password or there has been any other security breach. We will hold you responsible for anything done using your username and password. MAKE YOUR PASSWORD A STRONG ONE AND KEEP IT SECURE.

Infringement Notices

19. We respect the copyright of others and require that users of our services comply with the laws of copyright. You are strictly prohibited from using our services to infringe copyright. You may not upload, download, store, share, display, stream, distribute, e-mail, link to, transmit or otherwise make available any files, data, or content that infringes any copyright or other proprietary rights of any person or entity.
We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. Copyright Counter Notices

20. To file a counter-notification with us, you must provide a written communication to copyright@mega.co.nz that sets forth the items specified below. Please understand that filing a counter-notification may lead to legal proceedings between you and the complaining party to determine ownership. Be aware that there may be adverse legal consequences in your country if you make a false or bad faith allegation by using this process. The location of the original claimant, and whether or not it was submitted under United States law (governed by the United States Digital Millennium Copyright Act, Section 512 g), determines which if any type of counter-notification you may file. A counter-notification must include at least the following specific elements and any other elements required by applicable law: Identification of the specific URLs of material that has been removed or to which access has been disabled. Your full name, address, telephone number, email address and the username of your MEGA account. The statement "I will accept service of process from the person who provided MEGA with the original copyright complaint or an authorised agent of such person." The statement: "I have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled." Signature. A scanned physical signature or a valid electronic signature will be accepted. We can only accept a counter-notification directly from the user from whose account a URL or file has been disabled. For verification, we require that counter-notifications be submitted from the email address associated with the account. If you are filing the counter notice under the DMCA please add the following elements to your counter notice: State that you consent to the jurisdiction of the U.S. Federal District Court for the judicial district in which your address is located; State that you will accept service of process from the person (or an agent of such person) who provided the DMCA Notice to us. Include the following statement above your signature: "I swear under penalty of perjury, that I have a good faith belief that the material identified above was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled".

Suspension and Termination

21. You can terminate your access to the website and our services at any time by sending an email to support@mega.co.nz requesting termination. However, we will not provide any part- refund for any time not used on any subscription you may have.
22. We can immediately suspend or terminate your access to the website and our services without notice to you if you breach any of these terms or any other agreement you have with us. If you are not a registered user, we may suspend or terminate your access to website and our service at any time, without notice to you.
23. We may also terminate or suspend our services or any part of our services, for all users or for groups of users, at any time and for any reason or no reason.
24. All charges outstanding on your account must be paid at termination.

Communication Conditions

25. As with any other web-based forum, you must exercise caution when using any communication tools available on the website. However, while we are not obligated to, we have the right to remove any communication at any time, for any reason or no reason, without any liability to you.

Export Control

26. You may not use, export, re-export, import, or transfer any software or code suplied as part of your use of the website or our services: (a) into any United States or New Zealand embargoed countries ; or (b) to anyone listed as a specifically prohibited recipient by the United States Government or New Zealand Government. By using the website and our services, you represent and warrant that you are not located in any such country or on any such list. You also will not use the website or our services for any purpose prohibited by United States, New Zealand or any other law, including, without limitation, the development, design, manufacture or production of missiles, nuclear, chemical or biological weapons.

Severability and Waiver

27. If any provision of these terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. If we do not enforce any right or provision of these terms or if we in any instance grant any concession or indulgence, that will not be deemed a waiver of such right or provision or obligate us to grant any concession or indulgence to anyone else.

Force Majeure

28. We will not be liable by reason of any failure or delay in the performance of our obligations because of events beyond our reasonable control, which may include, without limitation, denial-of-service attacks, strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, terrorism, governmental action, labour conditions, earthquakes, material shortages, extraordinary internet congestion or extraordinary connectivity issues or failure of a third party host, (each a "Force Majeure Event"). Upon the occurrence of a Force Majeure Event, we will be excused from any further performance of the obligations which are affected by that Force Majeure Event for so long as the event continues.

Entire Agreement

29. These terms, our Privacy policy, the terms of any plan you purchase and any other provisions expressly referenced in these terms, together constitute the entire agreement between us relating to your use of the website and our services. They supersede and replace any prior agreement, arrangement or understanding between you and us regarding the webiste and our services.

DISCLAIMERS

30. WE DON'T GIVE YOU ANY WARRANTY OR UNDERTAKING ABOUT THE SERVICES OR THE WEBSITE WHICH ARE PROVIDED "AS IS". TO AVOID DOUBT, ALL IMPLIED CONDITIONS OR WARRANTIES ARE EXCLUDED AS MUCH AS IS PERMITTED BY LAW, INCLUDING (WITHOUT LIMITATION) WARRANTIES OF MERCHANTABILITY, FITNESS FOR PURPOSE, SAFETY, RELIABILITY, DURABILITY, TITLE AND NON-INFRINGEMENT.
31. We will try to give you access to our website all the time, but we do not make any promises or provide you with a warranty that our website or the services will be without any faults, bugs or interruptions.
32. Whilst we intend that the services should be available 24 hours a day, seven days a week, it is possible that on occasions the website or services may be unavailable to permit maintenance or other development activity to take place or be periodically interrupted for reasons outside our control.
33. Information on our website will change regularly. We will try to keep our website up to date and correct, but again, we do not make any promises or guarantees about the accuracy of the information on our website.

39. IF YOU ARE NOT SATISFIED WITH THE SERVICES, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO TERMINATE THESE TERMS.
40. DESPITE THE ABOVE, IF ANY COURT HOLDS US (THIS INCLUDES OUR OFFICERS, STAFF AND AGENTS) LIABLE FOR ANY MATTER RELATED TO THESE TERMS OR OUR SERVICES, OUR TOTAL COMBINED LIABILITY WILL BE LIMITED TO THE SUM OF YOUR MONTHLY FEES PAID BY YOU FOR THE PREVIOUS MONTH.

Disputes and Choice of Law

41. Any and all disputes arising of this agreement, termination, or our relationship with you shall be determined by binding arbitration under the Arbitration Act 1996 in Auckland, New Zealand, by one arbitrator who shall be a lawyer knowledgable in relevant technology matters appointed by the President for the time being of the Arbitrators and Mediators Institute of New Zealand Incorporated (AMINZ) on a request by either you or us.
42.1 Notice must be given to apply for any interim measure in the arbitration proceeding.
42.2 The arbitration proceeding will commence when a request is made to AMINZ to appoint an arbitrator.
42.3 The arbitration shall be in English. The Arbitrator in his or her discretion may permit the parties and witnesses to appear by videoconference.
42.4 The relationship we have with you under these terms is governed by New Zealand law. You and we submit to the exclusive jurisdiction of the New Zealand arbitral tribunals and courts (for the purposes of that arbitation) and the parties agree to enforcement of the arbitral award and orders in New Zealand and any other country.

Information and Privacy

43. We reserve the right to disclose data and other information as required by law.
44. You and anyone else you give access to are also bound by our Privacy Policy. By accepting these terms, you also accept our Privacy Policy.

Rights to Third Parties

46. Employees, officers, agents, authorised suppliers of services to and authorised resellers of, our services, are entitled to the benefit of all indemnities and other provisions of these terms which are for the benefit of Mega.

Chirpstory Terms of Use


Chirpstory is a product of Togetter Inc. In order to use the services (the "Services") provided via Chirpstory ("this Site"), you must agree to the Chirpstory terms of use (the "Terms of Use").

Article 1. Acceptance of the Terms of Use and Changes

  1. Persons using the Services ("Users") provided by Togetter Inc. ("Togetter") via this Site must agree to the Terms of Use as a condition of using the Services. Use of the Services constitutes acceptance of all of the provisions of the Terms of Use by a User.
  2. Togetter may change the Terms of Use without prior notice or warning to the Users. When the Terms of Use are changed, the new Terms of Use become effective when a User uses the Services following the change. Use of the Services following a change in the Terms of Use constitutes acceptance of the new Terms of Use by a User.

Article 2. Important Considerations Concerning Use of the Services

  1. Users are solely responsible for registering, changing, and managing the information registered by them at the Site in connection with using the Services, including Twitter account information.
  2. Use of the Services via a Twitter account that the User has registered with Twitter is considered use of the Services by the User that owns that Twitter account. Any consequences, liability, or damages arising from such use are the responsibility of the User who owns that Twitter account.
  3. If Togetter or another party suffers damages arising from the unauthorized use of a User's Twitter account, the User must compensate Togetter or the third party for such damages.
  4. Togetter will not be liable for any damages or harm suffered by a User due to false or inaccurate Twitter account registration information.
  5. If Togetter determines that any of the information posted or curated by the User ("user content") through the Service violates the Terms of Use, Togetter may hide or delete all or some of such user content, without prior notice or warning to the User.
  6. When deemed necessary in order to protect Togetter or User rights, property, or services, or to protect another party's life, physical person, or property, Togetter may disclose or provide user content to a court of law, criminal investigator, or other public institution to the extent deemed necessary to afford such protection.
  7. The use of the Services is free of charge to Users, except for certain services and content. However, Users are responsible for any telecommunications charges arising from the use of the Services.

Article 3. Personal Information

Togetter handles User personal information appropriately in accordance with “Togetter Privacy Policy” specified separately.
Except as provided below, Togetter will not provide personal information to a third party without the consent of the User:
  1. When permitted by the Act on the Protection of Personal Information or other relevant laws or regulations;
  2. When it is necessary to protect a person's life, physical person or property, but it is difficult to obtain the consent of the individual who is the subject of the personal information;
  3. When outsourcing work related to the Services to a third party, in whole or in part;
  4. When disclosing information to a party that has a confidentiality obligation to Togetter;
  5. When it is especially necessary in order to improve public health or to promote child welfare, but it is difficult to obtain the consent of the individual who is the subject of the personal information;
  6. When there is a request for personal information from a court of law, public prosecutor's office, police agency, tax office, bar association, or other institution with equivalent authority;
  7. When disclosing information to a party that is taking over the operation of the Services in conjunction with a change in the operator of the Services due to a merger, business transfer or some other reason; and
  8. When otherwise deemed necessary in the exercise of Togetter's rights.

Article 4. Copyright Policy

  1. Togetter has obtained a license from Twitter for the copyrights to the Twitter posts curated by the Users of the Services. Users are only permitted to curate Twitter posts as an adjunct of Togetter. Users do not have the copyrights to the Twitter posts that they have curated using the Services, except for material posted on Twitter by the User him/herself. If a social media curation of Twitter posts that a User has curated using the Services is copyrighted, the User grants a worldwide license to use the social media curation to Togetter (including the right to grant licenses) free of charge, and will not invoke moral rights with respect to Togetter's use of such copyrights (including use by those who have been sublicensed).
  2. Users retain copyrights to the material they have posted as their own comments in using the Services (copyrighted material). However, material posted by Users using the Services (copyrighted material) may be used on this Site or on sites affiliated with Togetter, or other media or services. Users will not invoke moral rights with respect to Togetter's use of copyrighted material pursuant to this paragraph.
  3. Except for copyrights associated with material posted by Users of the Services, the copyrights and intellectual property rights for the Services and information related to the Services belong to Togetter, the rights holders who have licensed use thereof to Togetter, and the rights holders who have licensed use thereof to those rights holders. Users may not copy, transfer, rent, translate, modify, reproduce, publicly transmit (or make transmittable), convey, distribute, publish, or use such material for commercial or other purposes without permission.

Article 5. Restrictions on Use of Services

Togetter may restrict functionality for a User when it has determined that any of following have occurred in connection with the User's use of the Services:
  1. When a person who has violated the Terms of Use in the past is using the Services;
  2. When it is determined that the Services are being used to impersonate Togetter or a third party;
  3. When the Services are being used to post or curate material that contains expressions that are offensive to others or that violate standards of decency;
  4. When a User commits any of the prohibited acts listed in Article 6; or
  5. When Togetter determines that the Services have been used inappropriately for reasons other than those listed above.

Article 6. Prohibited Acts

In using the Services, Users are strictly forbidden from curating or compiling posts, posting comments, or committing any other acts that correspond to any of the acts listed below (including curating or compiling Twitter posts that correspond to any of the acts listed below). Irrespective of whether there is any intentional act or negligence on the part of the User, if Togetter determines that any of the following acts have been committed, Togetter may delete or hide, without prior notice or warning to the User, such social media curations, compilations, or comments, or take other necessary measures such as suspending use of the Services or restricting access to its features. Togetter will not respond to any inquiries regarding such measures or the measures taken against a User for violating the provisions of this section.
  1. Acts that violate, or may violate, laws and regulations, standards of decency, or social norms
  2. Criminal acts or antisocial acts, or acts that aid, encourage, promote, or contribute to such acts
  3. Acts that infringe, or may infringe, the copyrights, patents, trademarks, or other intellectual property rights belonging to Togetter or a third party or other intellectual property rights including trade secrets.
  4. Acts that unfairly discriminate against or slander or defame Togetter or a third party; acts that harm the credit or reputation of Togetter or a third party; and acts that infringe, or may infringe, on the privacy rights, publicity rights, likeness rights, or any other rights belonging to Togetter or a third party
  5. Acts that violate the laws and regulations of the region in which Togetter provides the Services
  6. Acts that could cause damage or harm to Togetter or a third party
  7. Acts that an ordinary user would perceive as discriminatory based on nationality, ethnicity, race, social status, gender, ideology, religion or age
  8. Acts involving photographs, images, videos or other representations of brutality, violence or atrocities including murder or mutilation; or involving photographs, images, videos or other representations that could be upsetting to an ordinary user
  9. Acts that recommend, promote, induce, or encourage murder, robbery, or other violent acts, or suicide, self-injury, the use of controlled substances or other criminal or self-destructive behavior
  10. Acts involving any representation of child pornography, child abuse, or obscene images of sexual activity or genitalia; or involving representations of sexual activity or any activity equivalent to sexual activity (prohibited irrespective of whether the image has been pixilated or has artistic merits)
  11. Posting links to sites for downloading (including streaming) video images (irrespective of whether such images have been altered) that involve obscenity, child prostitution, or child pornography
  12. Posting links that direct to adult sites or to sites that sell adult merchandise
  13. Seeking encounters with unacquainted persons of the opposite sex or acts intended to lure people into such encounters
  14. Engaging in illegal betting or gambling, or recommending, inducing, inviting, or encouraging participation in such activity
  15. Other acts that are injurious to the welfare of minors
  16. Commercial promotion, advertising or soliciting without Togetter's approval
  17. Social media curations or comments that include affiliate links
  18. Social media curations or comments soliciting others for multi-level marketing programs, pyramid schemes, chain mail, or paid to read email schemes
  19. Social media curations or comments containing personally identifiable information such as a person's address, name, email address, telephone number or financial institution account number
  20. Social media curations or comments with the aim of spreading malicious content, such as computer viruses, one-click fraud sites, or phishing sites
  21. Acts aimed obtaining personally identifiable information, such as another person's address, name, email address, or telephone number
  22. Social media curations or comments containing information that is false or is intended to mislead another person
  23. Using the Services in a manner that puts an unreasonable burden on servers beyond the scope contemplated for normal usage, or that contributes to this; or that otherwise interferes, or may interfere, with the operation of the Site, the ability to provide the Services, or the ability of other Users to use the Services
  24. Using the Services, in whole or in part, for commercial purposes without the approval of Togetter
  25. Impersonating another person
  26. Conducting religious or political activities not allowed by Togetter
  27. Acts that violate Twitter's Terms of Service
  28. Other acts determined to be inappropriate by Togetter

Article 7. Disclaimers

  1. Togetter reserves the right to change, suspend, or terminate the Services without notifying Users in advance. Togetter will not be liable to Users for any interruptions in the use of the Services arising from such a change, suspension, or termination of the Services or from a change, suspension, or termination of the Services arising from an incident or accident.
  2. Togetter does not replicate the data stored on the Services' servers, including Users' curated and compiled Twitter posts, as a precaution against loss or damage. Togetter will not restore data that is stored on the servers that is lost or damaged for any reason.
  3. Togetter will not be liable for any damages arising in connection with a User's use of the Services.

Article 8. User Responsibilities

  1. If a conflict arises between a User and other users or third parties through the Services, it is the User's responsibility to resolve such conflict, and if Togetter, other Users, or other third parties incur damages as a result, the User will provide restitution.
  2. If a User violates the Terms of Use or infringes on a third party's rights in using the Services, the User will be financially and otherwise responsible for resolving such claims and will compensate Togetter for any damages that arise.
  3. Users will compensate Togetter for any other damages resulting from the User's user of the Services.

Article 9. Operation of the Services

  1. Users are responsible for managing the user content that they have created, and they will respond promptly and in good faith to any requests from other users to delete or hide material.
  2. Users are also responsible for managing the comments posted by other users on the user content that they have created, and accept that such posts are to be treated in the same manner as the social media curation and comments that they themselves have posted and curated.
  3. If it becomes difficult for the creator of user content to continue managing such user content for any reason, the user content may be deleted or hidden after a certain period of time.
  4. If a User violates the Terms of Use either intentionally or through negligence, Togetter may delete the user content.

Article 10. Controlling Law and Jurisdiction

  1. The Terms of Use will be construed and applied in accordance with the laws of Japan.
  2. When there is a request for mediation concerning a dispute between Togetter and a User, the supervising court will be the Tokyo Summary Court or the Tokyo District Court.
  3. The Tokyo Summary Court or the Tokyo District Court is the exclusive court with jurisdiction when bringing a legal action in connection with a dispute between Togetter and a User.
